14.8管辖法律和争议解决：本协议应被视为已提出，在上海，中国人民共和国执行，并应当按照中国人民共和国法律管辖和解释的。引起或与本协议有关的任何争议，应按照中国人民共和国的法律解决，但不包括法律冲突规则。这类纠纷的，应当由双方通过友好协商解决。这样的谈判失败的情况下，双方同意提交中国国际经济贸易仲裁委员会上海分会，按照当其时有效的仲裁规则在上海定居位于争端。由仲裁员作出的裁决是终局的，对双方都有约束力。
