合资公司无法继续经营或达到合同中规定，由于这样的事实，缔约一方不履行合同和章程规定的义务，或严重违反规定的经营宗旨合同和章程，该方应被视为单方面终止合同。另一方有权终止合同，按照合同规定，经原审批机关以及要求赔偿的批准。
