不可抗力是指任何情况下超出控制双方行使尽职调查和合理的远见，它不能防止或克服，包括（但不限于）在政府权力的重大变化，政策，天灾，战争骚乱疫情，骚乱，火灾，地震，风暴，洪水，禁运，总罢工影响，在各方未能履行本协议的缔约方。它是明确同意，任何一方均可终止本协议没有持久弥偿或补偿在不可抗力的情况时比六（6）个月。
